Layout and design
remain
the exclusive property of Couches Exclusive.
Custom design drawings and manufacturing specifications remain Couches Exclusive intellectual property unless otherwise agreed in writing.
5. QUOTATIONS & ORDER ACCEPTANCE

Quotations are valid for 7–14 days unless otherwise stated.

An order becomes legally binding only once payment is received and confirmed in
writing.

Couches Exclusive reserves the right to refuse or cancel any order prior to dispatch.
Orders may be cancelled before production begins.
Custom or made-to-order products may not be cancelled once manufacturing has commenced.
6. DEPOSITS & PAYMENT TERMS

Custom orders require a deposit prior to production.
-
Deposits are non-refundable once materials are ordered or production has
commenced, unless cancellation results from confirmed defect or breach by Couches
Exclusive.

Full payment may be required prior to delivery or collection.
Late or incomplete payments may result in delayed delivery and/or storage fees.

7. CUSTOM & MADE-TO-ORDER PRODUCTS
Custom products include items manufactured according to customer-selected:

Fabrics
-
Colours
-
Sizes
-
Design variations
Due to their personalised nature:
-
Custom products are excluded from voluntary return policies.

Statutory defect protections under the Consumer Protection Act remain applicable. Slight variations in colour, texture, stitching, or grain are natural characteristics and not
defects.
8. DELIVERY, STORAGE & ACCESS
Delivery is governed by the Shipping & Delivery Policy. If:

The customer fails to accept delivery;
-
Access conditions were misrepresented;
-
Delivery cannot be completed due to site conditions;
Couches Exclusive may:
-
Charge re-delivery fees;
-
Apply storage fees after reasonable notice. Risk transfers upon delivery and acceptance.
9. INSTALLATION SERVICES
Where installation services are provided:

The customer must inspect and sign off upon completion.
-
Sign-off confirms satisfactory installation, subject to statutory defect rights. Couches Exclusive is not responsible for pre-existing site defects or structural conditions.

10. WARRANTY & STATUTORY RIGHTS
Nothing in these Terms limits rights under the Consumer Protection Act. All goods carry:

A 6-month implied statutory warranty against defects.

Within 6 months, customers may elect repair, replacement, or refund if a defect is
confirmed.
In addition to statutory rights, Couches Exclusive provides extended warranty coverage for residential use as follows:

5-Year structural frame warranty
-
2-Year warranty on foam and fibre fillings
-
2-Year warranty on stitching and seams
-
2-Year warranty on webbing and springs
-
2-Year warranty on craftsmanship and workmanship
-
2-Year warranty on motion mechanisms and motors (where applicable)
Extended warranty terms are governed by the Warranty & Care Manual.
After the initial 6-month statutory period, repair shall be the primary remedy under extended warranty, unless otherwise required by law.
11. COMMERCIAL PROJECTS
For commercial or high-traffic environments:

Separate written agreements may apply.
-
Warranty coverage may differ based on usage.
-
Commercial use voids residential warranty terms unless expressly agreed in writing.
12. FORCE MAJEURE
Couches Exclusive shall not be liable for delays or failure to perform due to events beyond reasonable control, including:

Load shedding
-
Supplier shortages
-
Strikes
-
Natural disasters

Government restrictions
-
Transport disruptions
Delivery timeframes shall be reasonably extended where applicable.
13. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Couches Exclusive shall not be liable for:

Indirect damages

Loss of income
-
Loss of business
-
Consequential damages
Nothing excludes liability for:

Gross negligence
-
Personal injury
-
Death
-
Any liability that may not legally be excluded
14. DISPUTE RESOLUTION
In the event of a dispute:

Parties agree to attempt amicable resolution in good faith.

If unresolved, the matter may be referred to mediation.
-
Failing mediation, disputes shall be resolved in South African courts.
Nothing limits a consumer’s right to approach statutory consumer bodies.
15. ELECTRONIC COMMUNICATIONS
In accordance with the Electronic Communications and Transactions Act:

Electronic communications are valid and binding.
-
Orders and agreements concluded electronically are legally enforceable.

Personal information is processed in accordance with:

17. SEVERABILITY
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain enforceable.
18. AMENDMENTS
Couches Exclusive reserves the right to update these Terms at any time.
